BYLAWS

ARTICLE I - NAME

Section 1. Name

The name of the organization shall be the "South East Georgia Car and Truck Club" known as "The Club". And "The Club" logo as shown, will constitute identification of the Southeast Georgia Car and Truck Club, and will only be modified or changed by a 75% vote of membership hereafter. ARTICLE II - DEFINITION OF BYLAWS

These Bylaws constitute a code of rules adopted by the Club, for the regulation and management of its affairs.

 

ARTICLE III - MEMBERSHIP

Section 1.

Applications for membership shall be endorsed by a member in good standing then presented to the Executive Board for approval by a simple majority vote. A perspective member shall participate in no more then three Club functions as a guest prior to joining.

"The Membership" shall consist of Charter Members, Full Members, Family Members, and Honorary Members. The aforementioned members, with the exception of Honorary Members, shall share in all of the obligations and privileges of membership in the Club, providing they are not currently under suspension, have dues paid up to date, and are otherwise members in good standing. Minor children family members shall not have voting privileges until of legal age (18).

 

Section 2. Classes Membership.

A. Charter Member - Applicants obtaining membership within 30 days of approval of these Bylaws and properly recorded on the rolls shall be considered Charter Members.

B. Full Member - Members paying the full membership rate and of legal age (18).

C. Family Member - Member of the immediate family of a Full member and resides in the same household as the full member. Family members pay dues at 50% of the full membership rate.

D. Honorary Member - One who is held in high regard and has rendered notable service to the club and/or community. Recommendations for Honorary Membership shall be voted upon by the membership. Honorary Membership are valid for a maximum one year only and can be renewed at the Election meeting. Honorary Membership are limited to ten members per year. Honorary members do not have voting privileges and may not hold any office.

 

Section 3. Dues

A. The Membership Year shall be annually on Member’s anniversary date. The annual dues shall be $25.00. The Secretary shall notify members one (1) month in arrears, and those whose dues are not paid within three (3) months after notification thereafter shall be automatically dropped from membership in the Club. Members dropped for nonpayment and who wish reinstatement may be reinstated upon payment of the full year's dues. All dues paid are non-refundable. (modified 01/02)

B. The dues structure of the Club shall be as follows: The first Full Member in any family household shall pay dues at the current Full Membership Rate to include spouse. Other Family Members residing in the same family household shall pay dues at a 50% reduced rate. Only one newsletter shall be sent to each household. Each family household must have at least one (1) Full Member in good standing paying dues at the current Full Membership rate. (modified 01/02)

C. All membership moneys shall be paid to the Secretary.

 

Section 4. Conduct

During Club activities and meetings members shall:

A. Conduct themselves in a manner which promotes cooperation and harmony among the membership;

B. Respect each others opinions during meetings and allow each member the opportunity to present his or her view without undue interruptions;

C. Be recognized by the chair before talking during meetings by raising his or her hand;

D. Refrain from making personal attacks and leave personal disputes outside of the Club's activities;

E. Conduct themselves in a manner which promotes a favorable public opinion of the Club and it's activities;

F. Not make commitments on behalf of the Club without a vote of approval from the membership at a regular or special meeting;

G. Refrain from having private discussions which interrupt the meetings.

Failure to observe the above rules of conduct may be grounds for suspension or dismissal from membership

 

Section 5. Procedure for Dismissal/Suspension.

Complaint of a member's conduct shall be presented in writing to the Executive Board for investigation. If the Executive Board, after investigation, feels a member should be subjected to a vote for dismissal/suspension, the Executive Board shall present its recommendation for dismissal or suspension to the membership at the next meeting. A secret ballot majority vote by members present shall constitute proper authority for dismissal or suspension. A negative finding of justification for dismissal or suspension upon a member shall be stated to the body at the next regular meeting. However a vote need not be conducted in this circumstance.

 

Section 6. Responsibility

Each member will be responsible for his or her own actions and the Club will assume no responsibility for individual actions. Members bringing guests, will be responsible for their guest. (modified 01/02)

 

ARTICLE IV - OFFICERS

Section 1 - General

The Officers of the Club shall be President, Vice-President, Secretary, Treasurer and Sergeant-at-Arms. Each Officer except the Sergeant-at-Arms shall be elected by the Membership of the Club at the March meeting and shall take office on April 1st. The Sergeant-at-Arms will be appointed by the President. The Officers are members of the Executive Board and must be at least twenty-one (21) years of age. Term of office is for one (1) year. The Officers are responsible for the day-to-day operation of the Club. An Officer of the club, who misses 3 consecutive meetings will be petitioned for impeachment, unless prior excused. Section 2 - President

The President shall supervise the affairs of the Club. The President shall be an ex officio, non-voting member of all committees except the Nominating Election Committee. The President shall preside at all meetings of the Club and of the Executive Board; shall perform other such duties as may be prescribed in the bylaws or assigned to him by the membership or the Executive Board; and shall coordinate the work of the Officers and any committees of the Club. The President shall enforce observance of the By-laws and shall appoint all committee chairman. The President shall appoint any committee the President feels necessary for the good and welfare of the Club. The President shall only make commitments, sign only those official documents, and only those resolutions as authorized by the membership or Executive Board. At the end of his/her term of office, the President shall pass on to the incoming President any property belonging to the Club.

 

Section 3 - Vice-President

The Vice-President shall perform all duties and exercise all powers of the President when the President is absent or is otherwise unable to act. The Vice-President shall perform other duties as may be prescribed by the President or the Executive Board.. At the end of his/her term of office, the Vice President shall pass on to the incoming Vice-President any property belonging to the Club.

 

Section 4 - Secretary

The Secretary shall keep am accurate record of the proceedings of all regular, special, and Executive Board meetings. The Secretary shall keep an accurate roll of Members, and shall handle general Club correspondence. The Secretary shall bring a complete set of by-laws to each Board and Club meeting and shall permit Members to consult them at there request. At the end of his/her term of office, the Secretary shall pass on to the incoming Secretary all property belonging to the Club.

 

Section 5 - Treasurer

The Treasurer shall have custody of the Club funds and shall keep full and accurate accounts of receipts and disbursements in books belonging to the Club and shall deposit all monies to the credit of the Club in depositories as may be designated by the Executive Board. The Treasurer shall disburse funds of the Club as authorized by the Executive, keeping appropriate vouchers for each disbursement. Checks written against the Club's fund must be signed by a minimum of two members of the Club's Officers. The Treasurer shall provide a full report at each regularly scheduled membership and Executive Board meeting. At the January meeting of the Board, the Treasurer shall provide to the board a detailed financial statement for the year just concluded.. At this time there shall be an audit of the books. The Treasurer shall be responsible for all Club funds and shall, at the end of his/her term of office, pass on to the incoming Treasurer all Club funds and documents.

 

Section 6 - Sergeant-at-Arms

The Sergeant-at-Arms is appointed and relieved by the President and will assume his/her duties upon appointment. The Sergeant-at-Arms will maintain order at all club functions including enforcement of Robert's Rules of Order. The Sergeant-at-Arms shall pass on to the incoming Sergeant-at-Arms all property belonging to the Club.

 

ARTICLE V - THE EXECUTIVE BOARD

Section 1.

The Officers of the Club and two (2) Members-at-Large elected by the general Club membership shall constitute the Executive Board hereafter known as "The Board". All members of the Executive Board must be twenty-one (21) years of age. A majority of the Board members must be present to constitute a quorum for the transaction of Club business.

 

Section 2.

The Executive Board shall have general supervision of the affairs of the Club between its business meetings, fix the hour and place of meetings, make recommendations to the Club, and shall perform such other duties as are specified in these Bylaws. The Board shall be subject to the orders of the Club, and none of its acts shall conflict with action taken by the Club. Unless otherwise ordered by the Board, regular meetings of the Executive Board shall be held once a month prior to the Regular Membership Meeting. Special meetings of the Board may be called by the President or three members of the Board. Special meetings shall be restricted to the business stated in the call for the meeting and shall be for the purpose of discussing items that can not be held over until the regularly scheduled meeting.

 

ARTICLE VI - ELECTION OF OFFICERS

Section 1 - Nominating/Election Committee

The Chairman of the Nominating Election Committee shall be appointed by the President no later than the January meeting of the Board. The Chairman shall select a Nomination/Election Committee of at least two (2) other Full Members, not of the same household, none of whom shall be running for Officer. The names and addresses of the Nominating/Election Committee shall be published in the same manner as proposed amendments to the Bylaws prior to the January regular meeting.

 

Section 2 - Nominations

The Nominating/Election Committee shall be responsible for handling and validating all nominations for office. No Member shall be nominated without giving his/her consent. No member of the Nominating/Election Committee may be nominated for any office. Members in good standing may submit a written declaration to the Nominating/Election committee of their request to run for office. Committee nominations and nominations from the floor shall be closed on the date of the February membership meeting. To be eligible for nomination a member must be in good standing with all dues paid to date.

 

Section 3 - Announcement of Nominees

The names of the nominees and poll information shall be supplied to the eligible voting membership at least seven (7) days prior to the February General Meeting. (modified 01/02)

 

Section 4 - Elections

Elections shall be held at the March meeting. Elections shall be conducted by the Nominating Election Committee by secret ballot of all Members in good standing, voting in person at the March meeting. Announcement of the results will be made to the membership at the March meeting. Those candidates for each office receiving the highest number of votes will be considered elected. In the event of a tied vote their shall be a run-off election conducted by the Nominating/Election Committee. Special Elections will be held in the event any Officer cannot fulfill the performance of his/her duties.

 

Section 5 - Eligibility to Vote

To be eligible to vote, members must be in good standing prior to the beginning of the March meeting date.

 

Section 6. - Impeachment.

A vote of impeachment of any officer shall be held for any stated reason on a petition signed by at least 75% of Executive Board, and will be published in next newsletter, with date of special meeting. A vote of impeachment of any officer may be held only at a special meeting by a secret vote. Impeachment will become effective only after a two thirds or more majority of the total membership voting for impeachment. (modified 01/02)

 

ARTICLE VII - MEETINGS

Section 1.

The regular meetings of the Club shall be held on the 2nd Sunday of every month unless otherwise directed by the Club. The quorum for a Regular or Special Meeting shall be the majority of the Board plus seven (7) members for the transaction of Club business. Times will be 4 pm Oct-Apr, 5 pm Apr-Oct. Section 2.

Special Meetings may be called by the President, by the Executive Board, or upon written request of 30% of the membership of the Club. The membership will be notified of the purpose and the date/location of Special Meetings and discussions will be restricted to only those items stated in the call. Except in cases of emergency, at least three days' notice shad be given.

 

ARTICLE VIII - COMMITTEES

Section 1.

Committees shall be appointed by the President or the Board as deemed necessary to carry on the work of the Club. Standing Committees shall be elected by simple majority vote at a regular meeting. The President shall be ex officio a member of all committees except a Nominating/Election Committee

 

ARTICLE IX - PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert's Rules of Order Newly Reused hereinafter known as "The Rules of Order" shall govern the Club in all cases to which they are applicable and in which they are inconsistent with these bylaws. The President, or alternate chair of the Regular Membership Meeting may, at the beginning of each meeting relax the aforementioned Rules of Order. During the course of the meeting the chair has the authority to invoke the Rules of Order when deemed necessary to expedite and complete the business of the meeting. Once invoked, the Rules of Order will be enforced until adjournment of the meeting. Motions that have been seconded to invoke the Rules of Order supported by a majority of members present at the meeting shall be acted upon favorably by the chair. A Motion to invoke the Rules of Order is always in order. Members shall be recognized by the chair before offering discussions or debate on issues to the floor regardless whether Rules of Order have been invoked or not.

 

ARTICLE X - CHARTER & BYLAWS

The Club Charter may only be modified by a two thirds (2/3) vote of the existing Charter Members until less them three Charter Members in good standing remain as Full members with this organization.

These Bylaws may be amended at any regular meeting of the Club by a vote of the majority of the members present, provided that the proposed amendment has been submitted by e-mail or official notice to the Secretary and read to the membership at the previous meeting. Each family household shall receive only one (1) notice of proposed amendments to the Bylaws regardless of the numbers of members in each household.
